These Terms of Service ("Terms") govern your access to and use of the Ledger platform ("Service"), provided by Ledger Build LLC ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility and account

You must be at least 18 years old and have the legal capacity to enter into a contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Subscription and billing

The Service offers free, trial, and paid subscription tiers. Paid subscriptions are billed in advance on a recurring basis through Stripe. By starting a paid subscription you authorize us to charge your payment method on file at the start of each billing period. Subscriptions renew automatically until canceled. You may cancel from within the Service at any time; cancellation takes effect at the end of the current billing period and we do not refund partial periods.

3. AI-generated content

The Service uses third-party large language model providers (including OpenAI) to generate bid drafts, pricing estimates, and other content from your inputs. You acknowledge that AI output is suggestive, not authoritative, and that you are responsible for reviewing and editing the output before relying on it commercially or contractually. We do not warrant the accuracy, completeness, or suitability of AI output.

4. Third-party integrations

The Service connects to third-party services (Stripe, QuickBooks, others) at your direction. Your use of those services is governed by their respective terms; we are not responsible for their availability, data handling, or fees.

5. Text messages (SMS)

We use text messages for two separate purposes. They are consented to separately, and neither is a condition of using the Service.

(a) Account security messages. If you turn on two-factor authentication or another security feature that uses SMS, we send one-time verification codes and security alerts to the mobile number you provide for that purpose. These are transactional messages sent in response to something you did. Turning the feature off in the Service stops them.

(b) Account notifications — the "Ledger Notifications" program. If you opt in, we send text messages about your account activity. These may include estimate status updates, project notifications, estimate approvals, invoice alerts, crew communications, and account security notifications. Opting in is separate from (a), and separate from creating an account.

Your consent covers only what we describe to you when we ask for it. We will tell you what kind of messages you are agreeing to receive at the point you opt in. If you have previously agreed to receive a different kind of message from us, that agreement does not carry over to this program — we will ask you again.

The following applies to both:

• Program name: Ledger Notifications
• Message frequency: Frequency varies with your account activity. Users who opt in to notifications receive on average between 2 and 15 messages per month depending on activity level. Security messages are sent only when you or someone using your credentials triggers them.
• Message and data rates: Message and data rates may apply. Standard messaging rates from your wireless carrier apply to all messages sent and received. We do not charge for text messages, but your carrier may.
• How to opt out: Text STOP to any message you receive from us to unsubscribe. You will receive a one-time confirmation and will receive no further text messages from us unless you re-subscribe. STOP stops all of our text messages, including account security codes — if you rely on SMS for two-factor authentication, set up another verification method before opting out, or you may lose access to your account.
• Help: Text HELP to any message you receive from us for instructions on managing your preferences. You can also reach us at admin@ledger-build.com or at ledger-build.com.
• Consent: By opting in to notifications, you expressly consent to receive recurring automated text messages from us at the number you provide. Consent is not a condition of purchase or of using the Service. You may use every feature of the Service without opting in to notifications.
• Privacy: We do not sell, rent, or share your phone number or your opt-in data with third parties for marketing purposes. See our Privacy Policy for how we handle it.
• Carriers: Major US carriers are supported. Carriers are not liable for delayed or undelivered messages.

6. Your content and data

You retain ownership of all data you submit to the Service ("Your Content"). Our handling of personal information is described in our Privacy Policy. You grant us a non-exclusive license to use Your Content solely to operate, secure, and improve the Service, including processing it through the AI providers identified above. We do not sell Your Content. Aggregate, de-identified usage data may be used to improve the Service.

7. Acceptable use

You may not use the Service to violate any law, infringe any party's rights, transmit malware or harmful code, reverse-engineer the Service, or use the Service to build, train, or benchmark a competing product or service.

8. Termination

You may delete your account at any time from within the Service (Settings → Delete account). We may suspend or terminate your account if you materially breach these Terms.

9. Disclaimers and limitation of liability

The Service is provided AS IS without warranties of any kind. To the maximum extent permitted by law, our liability arising from or relating to the Service is limited to the greater of (a) the fees you paid us in the twelve months preceding the claim, or (b) one hundred US dollars (USD $100).

10. Governing law and disputes

These Terms are governed by the laws of Utah, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Service must be brought exclusively in the state or federal courts located in Utah.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Effective date" and "Version" above, and require you to accept the updated Terms before continuing to use the Service. You can always view the current version from within the Service.
